Agent Generation Service Addendum

The Anvita Flow Platform is published, owned and operated by SigmaLayer Company Limited (“Company” or “us”). This Agent Generation Service Addendum (this “Addendum”) governs your access to and use of our Agent Generation Service.
1. ACCEPTANCE OF AGREEMENT
- (a) By using the Agent Generation Service in any manner, User accepts and agrees to be bound by this Addendum which forms part of the Agreement between the User and the Company. This Addendum is supplemental to the Anvita Flow Terms of Service (available at Anvita Flow Terms of Service) (the “Platform Terms”). If User does not agree to this Addendum, User should not use the Agent Generation Service.
- (b) The Platform Terms shall continue to apply, except to the extent expressly amended in this Addendum in respect of the Agent Generation Service. In the event of any inconsistency between this Addendum and the Platform Terms, this Addendum shall prevail in respect of the Agent Generation Service.
2. DEFINITIONS
2.1. Unless the context requires otherwise, capitalised terms shall have the meaning given to them in the Platform Terms or in this Addendum as follows:
- (a) “Agent Generation Service” has the meaning given to it in paragraph 3.1(b).
- (b) “Agent Generation Service IP” means all Intellectual Property Rights created, discovered or brought into existence by or on behalf of the Company as a result of, for the purpose of, or in connection with the provision of the Agent Generation Service by the Company to Users, excluding Input and Output.
- (c) “AI Skills” means any software-based capability, module, workflow, tool, integration, plugin, prompt, model configuration, knowledge resource, retrieval system, automation process or other functionality made available for use by or through the AI Agent, whether developed by a Party or a third party, that enables the AI Agent to perform, support or enhance one or more tasks, functions, operations or services; excluding any underlying AI models.
- (d) “Customer User” has the meaning given to it in paragraph 3.2(d)(v).
- (e) “Developer User” has the meaning given to it in paragraph 3.1(a).
- (f) “End User Agreement” has the meaning given to it in paragraph 3.2(d)(v).
- (g) “Hosting Services” means the cloud-based hosting, storage, computing, networking and related infrastructure services provided by the Company (which may use third-party cloud infrastructure in connection therewith) to support the operation, availability and functionality of the Agent Generation Service.
- (h) “Proprietary Managed Software” means the Company’s software, interfaces, orchestration logic, configuration tools and related application functionality that enables you to access, communicate with, configure, manage and use the Generated Agents developed using the Proprietary Toolkit.
- (i) “Proprietary Toolkit” means the Company’s software development toolkit, interfaces, orchestration logic, configuration tools, API and related application functionality that enables Developer User to develop a Service Agent through the Platform.
- (j) “Third Party Model” means any third-party AI model accessed and used (including through any application programming interface, gateway, routing layer, model aggregator, or similar intermediary) by the Proprietary Managed Software as part of the Agent Generation Service, as may be updated or replaced by the Company from time to time.
- (k) “Third Party Terms” means any terms, provisions, restrictions, acceptable use and abuse monitoring policies applicable to the Third Party Dependencies.
3. THE AGENT GENERATION SERVICE
3.1. Purpose and Nature of the Agent Generation Service
- (a) The Agent Generation Service enables you (“Developer User”), through using a self-service workflow on the Platform, to generate, develop, deploy, configure and provide a Service Agent on the Platform (“Generated Agent”).
- (b) The Agent Generation Service forms part of the “Service” (defined under Platform Terms). “Agent Generation Service” means the integrated services allowing Developer User to develop and manage your Generated Agent, which could involve the following:
- (i) provision by the Company of the Proprietary Toolkit;
- (ii) provision by the Company of the Proprietary Managed Software, including functionality that allows Developer User to: (1) develop your Generated Agent using natural language inputs and/or other supported Inputs; (2) provide built-in access to the Third Party Model for your Generated Agent; and (3) where applicable, interact with the Proprietary Toolkit to manage the Generated Agent through a developer console; and
- (iii) provision by the Company of Hosting Services to enable Developer User to: (1) access and use the Proprietary Toolkit and Proprietary Managed Software; and (2) list its Generated Agent on the Agent Store.
3.2 Use of the Agent Generation Service
- (a) Subject to Developer User’s compliance with this Addendum and any Third Party Terms, the Company grants the Developer User a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the Agent Generation Service through the Platform solely for the Developer User’s own personal or legitimate commercial use.
- (b) Third Party Model. Subject to paragraph 3.2(g), the Agent Generation Service provides integrated access to Third Party Model. Developer User should review specific functionalities and separate terms and conditions and privacy policy applicable to Third Party Model available at: Third-Party Terms & Privacy Policies.
- (c) Proprietary Managed Software. Developer User may configure and deploy the Generated Agent using natural language inputs and/or other supported Inputs, subject to compliance with any prohibitions or user restrictions in the Agreement.
- (d) Generated Agent. Developer User is solely responsible for:
- (i) determining the intended use and intended jurisdiction to make available the Generated Agent, and ensuring that its Generated Agent will not violate the Company’s Acceptable Use Policy and such other policies and rules provided by the Company (which are available at: Anvita Flow Acceptable Use Policy) ;
- (ii) providing necessary Input (including without limitation, as applicable, the AI Skills, descriptions of the proposed Generated Agent, functions, proposed Generated Agent skills specifications, runtime settings, eligibility for using the Generated Agent, restrictions and limitations of the Generated Agent and price chargeable for using its Generated Agent (after listing on the Agent Store)) in the format supported by us;
- (iii) configuring its Generated Agent in a manner appropriate for your needs;
- (iv) conducting acceptance testing on the protocol of the Generated Agent and reviewing and confirming all commercial, legal and technical aspects of its Generated Agent before finalising your creation of the Generated Agent;
- (v) supervising the performance of its Generated Agent, or maintaining appropriate human oversight over any decisions, actions or workflows of its Generated Agent;
- (vi) conducting safety testing on the Generated Agent to ensure it reasonably safeguards data processed by it;
- (vii) creating, maintaining and testing appropriate backup, retention and recovery arrangements for all Inputs, Outputs and other information relating to your use of the Agent Generation Service;
- (viii) to the extent any open source software is included in the Inputs for using in the Agent Generation Service, (a) complying with all applicable open source licenses; (b) ensuring that no open source component is used in a manner that requires disclosure of the Company’s proprietary source code or imposing any obligation on the Company to license its software under an open source license; and (c) maintaining an up‑to‑date inventory of open source components used in the generation of the Service Agent through the Platform and the associated licenses. On request, the Developer User will make available a list of such components and licenses. Developer User shall be responsible for any third‑party claims arising from its breach of any open source license terms.
- (ix) conducting its own legal, regulatory and compliance assessment of the Generated Agent and obtaining all necessary licences, registrations, permits, approvals, consents and authorisations required for the development, deployment, listing, operation, distribution or use of the Generated Agent;
- (x) ensuring its use of the Agent Generation Service complies with the applicable user interface, operating instructions, this Addendum and Applicable Law; and
- (xi) in addition to paragraphs 3.2(d)(i)-(ix) above, if Developer User decides, at its sole discretion, to list the Generated Agent on the Agent Store for other Users (including through their AI Agents) (the “Customer Users”) to use the Generated Agent:
- (1) Developer User is solely responsible for entering into a separate and distinct agreement with its Customer Users, in relation to the supply of the Generated Agent (“End User Agreement”). Developer User shall ensure that it provides all necessary, accurate and non-misleading information and trade descriptions under Applicable Law in relation to its Generated Agent and about its data practice for the listing of the Generated Agent on Agent Store, as well as ensuring that it obtains all necessary consent from Customer User under Applicable Law;
- (2) If the Developer User does not make available its own End User Agreement in respect of a Generated Agent, the Standard End User Agreement at Standard Agent End User Agreement (the “Standard EUA”) shall automatically apply to the use of that Generated Agent by Customer Users. The Standard EUA is provided by the Company solely as a convenience to the Developer User. To the maximum extent permitted by Applicable Law, the Company disclaims all representations and warranties, whether express or implied, in relation to the Standard EUA, including any implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement, legality or compliance with Applicable Law. The Developer User remains solely responsible for assessing the suitability of the Standard EUA and is strongly encouraged to provide a custom End User Agreement for its Generated Agent; and
- (3) The Company is not a party to and does not enter into, any agreement, arrangement or transaction between the Developer User (or its Generated Agent) and any Customer User (or its AI Agent), is not responsible or liable in any way to Developer User or Customer User in relation to the End User Agreement, whether facilitated by or made available through the Agent Generation Service.
- (e) Listing on Agent Store. Notwithstanding anything to the contrary in the Platform Terms or this Addendum, the Company does not guarantee that all Generated Agents submitted for listing on the Agent Store will be approved for listing. The Company shall have sole discretion to: (i) review any AI Agent listing submission requests to consider whether to approve the listing to make any Generated Agents available; and (ii) conduct content moderation and enforcement actions on any Developer User’s or Customer User’s Input and Output (including Generated Agent) to address any acts or omissions or content that may violate Applicable Law, any third party rights or any Platform Terms or this Addendum.
- (f) Hosting Services. Subject to paragraph 3.2(g), the Company procures cloud-based facilities provided by third parties (including Alibaba Cloud) to provide Hosting Services to enable the Developer User to use Proprietary Managed Software and Proprietary Toolkit. Developer User should review the separate terms and conditions and privacy policy applicable to our cloud-based facilities provider available at: Third-Party Terms & Privacy Policies.
- (g) Third-Party Dependencies and Capacity Constraints. Developer User acknowledges and agrees that the Agent Generation Service relies on a combination of third-party and/or Company-provided AI Skills, models, hosting, infrastructure and related services, including Third Party Models and Hosting Services (“Third Party Dependencies”). To the extent third-party services are used, such services may be operated by independent third parties outside the Company’s control. If the Company reasonably considers that the Developer User has violated any Third Party Terms, or if the Company receives notice from the relevant Third Party Dependencies service provider requiring it to take remedial action as a result of Developer User’s use of Agent Generation Service, the Company reserves the right to immediately suspend or restrict the Developer User’s access to the affected functionality or Agent Generation Service, without prior notice if necessary, to comply with the requirements of the Third Party Dependencies’ service or where reasonably necessary to protect security, legal or operational interests.
- (h) Non-Hosted Agents. Where enabled by the Company, the Agent Generation Service may permit Developer User to register, connect, integrate with or otherwise use one or more Non-Hosted Agents.
- (i) External Integrations. Where enabled by the Company, Developer User is solely responsible for any integration of the Generated Agent with any third-party system, API, protocol, developer tool, plug-in, application, payment chain, cloud environment, virtual machine, or other external technology. If the Developer User (or your AI Agent) integrates API keys for external third-party services in using the Agent Generation Service, the Developer User represents and warrants that it holds all necessary rights, licenses, and permissions, including any required sublicensing rights, to allow such third-party APIs to be accessed and used via the Agent Generation Service.
- (j) No Service Commitment. The Company does not:
- (i) provide any service level commitments or uptime guarantees in respect of the Agent Generation Service unless expressly agreed in writing;
- (ii) support any use of the Agent Generation Service outside the applicable supported interfaces or operating instructions provided by the Company; or
- (iii) warrant or guarantee that any data or records in relation to your use of the Agent Generation Service will be retained, preserved, recoverable or available at any time. The Developer User shall not rely on the Agent Generation Service as its sole repository of any information.
3.3 Inputs and Outputs
- (a) Inputs. Developer User shall ensure that all Inputs provided to the Agent Generation Service comply with all Applicable Law and all applicable license terms that apply to open-source software, and do not infringe any publicity or other rights of third parties.
- (b) Outputs. The Agent Generation Service may generate Outputs in response to Inputs or the Developer User’s other activity. Your Generated Agent developed by using the Agent Generation Service is a type of Output.
- (c) Filtering and AI Agent Processing. Where the Generated Agent filters, processes, prioritises, summarises, translates, classifies or otherwise transforms Third-Party Information, such processing may be automated, probabilistic, incomplete, delayed or erroneous.
- (d) Cross-border Transfer. Inputs and Outputs may be processed, transmitted or stored in multiple jurisdictions, including by third-party service providers. Developer User acknowledges that such cross-border transfers may be subject to foreign laws and that the level of data protection in those jurisdictions may differ from that in the Developer User’s location.
3.4 Modification. Without prejudice to the “Modification of Service” provision in the Platform Terms, the Company reserves the right, at any time, to modify, update, suspend, limit, replace or discontinue the Agent Generation Service (including its availability through the Platform), in whole or in part, including any Third Party Model, the Proprietary Toolkit, the Proprietary Managed Software and the Hosting Services, with or without notice to the Developer User, provided that the Company will use reasonable endeavours to minimise material disruption to Developer User’s use of the Agent Generation Service.
4. FEES, PAYMENT AND CREDITS
4.1. Fees. The Company may charge fees for access to or use of the Agent Generation Service. Details of applicable fees, pricing, usage limits and billing terms will be made available by the Company from time to time. Where made available, fees may be payable in such currency or payment method as may be supported by the Company from time to time. Developer User authorises the Company and/or its payment service providers to charge all applicable fees, taxes and other amounts due to the designated payment method. Unless otherwise expressly stated, all fees are non-refundable except as required by Applicable Law. The Company may introduce or update fees, pricing, packaging, usage limits or billing practices on a prospective basis, subject to any notice or agreement required by Applicable Law.
4.2. Credits. The Company may permit Developer User to purchase Credits and apply them toward usage of the Agent Generation Service in accordance with applicable usage metrics or consumption models made available from time to time.
5. PRIVACY
5.1. Developer User agrees to the Privacy Policy Addendum for Agent Generation Service (which is available at: Privacy Policy Addendum for Agent Generation Service) which is incorporated by reference into this Addendum as if it were set forth herein in its entirety.
6. INTELLECTUAL PROPERTY
Without prejudice to the “Intellectual Property” provision in the Platform Terms:
6.1. Company Intellectual Property.
- (a) Developer User acknowledges and agrees that, as between the Company and Developer User, the Company (or the Company’s licensors) owns all right, title and interest in and to the Agent Generation Service IP.
- (b) Without prejudice to paragraph 3.2(g) in this Addendum, Developer User agrees and acknowledges that the Company’s provision of the Agent Generation Service shall be subject to applicable Third Party Terms as referred to in the relevant links provided in paragraph 3.2 above. If the Company is unable to provide the Agent Generation Service due to any Third Party Terms, the Company may modify, suspend or terminate the Agent Generation Service (in whole or in part) without any liability to you.
6.2. Inputs and Outputs
- (a) As between the Developer User and the Company, and subject to the Developer User’s compliance with this Addendum and Applicable Law, Developer User retains all rights, title and interest (if any, to the extent recognised under the Applicable Law) in and to Inputs submitted by Developer User to the Agent Generation Service and Outputs (including the Generated Agent) generated from the Agent Generation Service, provided that:
- (i) Developer User hereby grants to the Company an unconditional, perpetual, irrevocable, non-exclusive, royalty-free, sublicensable, transferable and worldwide licence to use, reproduce, modify, process, store and otherwise exploit: (1) Developer User’s Inputs, (2) Developer User’s Outputs (including Outputs from Developer User’s Generated Agent) and (3) Developer User’s Background IP (to the extent incorporated in or necessary for the use of such Inputs or Outputs (including Generated Agent)), for the Company’s commercial purposes (including in connection with the provision, operation, development or improvement of our Service), subject to compliance with Applicable Law. Notwithstanding the foregoing, the Company will not use your Generated Agent in direct competition with Developer User. For clarity, this licence related to the Intellectual Property Rights and does not extend to the Company’s rights to process personal data beyond those described in the applicable Privacy Policy;
- (ii) If Developer User decides in its sole discretion to list its Generated Agent on the Agent Store, notwithstanding anything to the contrary in the relevant End User Agreement:
- (1) Developer User shall grant to the Customer User a licence to use the Generated Agent on the Platform; and
- (2) Developer User shall grant to the Company an unconditional, perpetual, irrevocable, non-exclusive, royalty-free, sublicensable, transferable and worldwide licence to use, reproduce, modify, process, store and otherwise exploit the Inputs, Outputs and Generated Agent, for the purpose of listing the Generated Agent on the Agent Store and for administering any Platform or Agent Store rules (as provided by the Company from time to time) in relation to listing and removal of any AI Agents, and for compliance with Applicable Law.
- (b) The Developer User represents and warrants that: (i) the Developer User has all necessary rights, title and authority to licence the Developer User’s Background IP, Inputs and Outputs (including any Generated Agent) as described in paragraph 6.2(a); and (ii) the use of Developer User’s Background IP, Inputs and Outputs (including Outputs of the Generated Agent) in accordance with this Addendum will not infringe the Intellectual Property Rights of any Third Party or breach any Applicable Law.
6.3. Role of the Company
- (a) The Company is not an author of, and does not create, develop, control, curate, select, endorse or otherwise assume responsibility for any Input, Output, Generated Agent, outputs of any Generated Agents, acts or omissions by any Generated Agents, or making available or displaying any Generated Agent on Agent Store. All Generated Agents are created and operated and listed on Agent Store solely at the direction and under the control of relevant Developer Users using Agent Generation Service.
- (b) Notwithstanding paragraph 3.2(e), the Company does not have any obligations to monitor, review, screen or verify Developer User’s Inputs, Generated Agents or Outputs, and shall not be deemed to have knowledge of, or control over, any specific content generated through the Agent Generation Service.
7. INDEMNIFICATION
7.1. Without prejudice to the “Indemnification” provision in the Platform Terms, Developer User agrees to indemnify, defend and hold harmless the Indemnified, from and against any claims (including without limitation claims by third parties), liabilities, damages, losses, judgments, settlements, penalties, fines, costs and expenses, including reasonable legal and accounting fees, directly or indirectly arising out of or in any way related to:
- (a) any claim by a third party alleging infringement of his or her Intellectual Property Rights by reason of provision or use or distribution of any part of the Generated Agent (or of any output or material or acts or omissions of the Generated Agent); and
-
(b) (i) any breach by the Developer User of any End User Agreement; or (ii) Customer User’s use of, reliance on, distribution of or other dealings with any Outputs (including Outputs from using Developer User’s Generated Agent).
8. ASSUMPTION OF RISKS
Without prejudice to the “Assumption of Risks” provision in the Platform Terms:
8.1. Risks of the Agent Generation Service. Developer User acknowledges and agrees that the Agent Generation Service is a multi-layered system incorporating generative AI, Proprietary Toolkit, Third Party Model and third-party cloud services, and is inherently subject to errors, bias, interruptions, delays, outages and cybersecurity risks. Developer User further acknowledges that interactions across these components may fail or behave unpredictably, resulting in Outputs or actions that are delayed, incomplete, inaccurate or unintended. To the maximum extent permissible under Applicable Law, Developer User is solely responsible for evaluating any Output and accepts all risks arising from use of, or inability to use, the Agent Generation Service (including Third Party Dependencies, model behaviour, technical failures and cybersecurity incidents).
8.2. Risks of Third Party Integration. Developer User acknowledges and agrees that Third Party Model and APIs may operate under their own terms and may use Developer User’s and Customer User’s Input or Output to train third party AI models, and these are outside the control of the Company.
9. LIMITATION OF LIABILITY AND WARRANTY DISCLAIMER
Without prejudice to the “Limitation of Liability and Warranty Disclaimer” provision in the Platform Terms, to the maximum extent permitted by Applicable Law:
9.1. The Company shall not be liable to any Developer User or Customer User for any loss or damages arising out of or in connection with:
- (a) any use of information, guidance or any other Output obtained through the Agent Generation Service;
- (b) any acts, omissions, or transaction, communication, instruction, decision, commitment, representation, expenditure or transfer initiated, executed or facilitated by any Generated Agent;
- (c) verifying, and ensuring the appropriateness, accuracy, and suitability of Output; or
- (d) any loss, corruption, destruction, inaccessibility or unavailability of any data or records relating to the User’s user of the Proprietary Service Agent;
whether arising from contract, tort, negligence or otherwise.
9.2. The Company makes no representation, warranty or covenant that:
- (a) any Third Party Model, third-party provider used by the Company to provide the Hosting Services, Non-Hosted Agents, Third-Party Information, Third Party Dependencies or other third-party service, external integration, or any transaction or dealing facilitated by or through the Agent Generation Service, will continue to be available, compatible or supported, functional, legal or reliable;
- (b) the Agent Generation Service will support any particular deployment volume, scale, concurrency level, hosting environment or usage intensity; or
- (c) any Generated Agent, AI Skill, Input, Output or use of the Agent Generation Service complies with Applicable Law or is suitable for any regulated activity or industry.
10. TERM AND TERMINATION
Without prejudice to the “Term and Termination” provision in the Platform Terms:
10.1. Unless terminated earlier in accordance with this Addendum or otherwise under the Agreement, this Addendum commences upon Developer User’s first access to or use of the Agent Generation Service and will remain in full force and effect until Developer User terminates the Agent Generation Service.
10.2 The Company may suspend or terminate the Agent Generation Service:
- (a) for non-payment of any Fees (if any);
- (b) if the Developer User’s continued excessive usage threatens the stability or security of the Agent Generation Service; or
- (c) if the Company is unable to provide the Agent Generation Service as mentioned in paragraph 6.1(b).
