If a Developer User does not provide separate end user terms or agreement for a Service Agent developed by it, this Standard EUA applies between that Developer User and each Customer User of the Service Agent.

Standard Agent End User Agreement (Standard EUA)

This Standard Agent End User Agreement (“Standard EUA”) applies to your use of a Service Agent made available through the Agent Store (“Agent Store”) of Anvita Flow Platform (“Platform”), where the Developer User has not provided a custom end user agreement or terms (“Custom EUA”).

By accessing, enabling or using a Service Agent, you agree to the Custom EUA, or (if there is no Custom EUA) this Standard EUA, between the User who provides the relevant Service Agent (“Developer User”) and you (“you” or “Customer User”). If you do not agree to this Standard EUA, you must not access or use the relevant Service Agent.

1. RELATIONSHIP WITH COMPANY AND PLATFORM TERMS

SigmaLayer Company Limited (“Company”) is not a party to this Standard EUA, which is solely between the Developer User and the Customer User. The Developer User is solely responsible for its Service Agent supplied to the Customer User, its functionality, content, descriptions, Outputs, data practices, compliance, support and any representations, warranties or obligations relating to the Service Agent. Company does not create, develop, operate, control, endorse, verify, review, monitor, warrant or guarantee any Service Agent or Output. “Inputs” means any prompts, instructions, skills, requests, files, text, data, materials or other content submitted, uploaded, transmitted or otherwise provided by you (or your AI Agent) to or through the Service Agent. “Outputs” means any responses, summaries, recommendations, generated content, task results or other outputs generated, returned or made available by or through the Service Agent in response to Inputs or your activity.

Nothing in this Standard EUA, or anything arising from your access to or use of any Service Agent of the Developer User, creates or shall be deemed to create any partnership, joint venture, agency, fiduciary or similar relationship between the Company and each of the Developer User, you, any AI Agent or any third party. Neither the Company nor any Developer User has authority to bind or act on behalf of the other.

Company operates the Platform and Agent Store, and may moderate, review, suspend, delist or remove Service Agents in accordance with the separate agreement between you and the Company in relation to your use of the Platform and the Company’s services (“Anvita Flow Agreement”). Nothing in this Standard EUA limits any rights, protections, disclaimers or limitations of liability available to Company under the Anvita Flow Agreement.

2. ACCESS AND USE

Subject to your compliance with this Standard EUA and Anvita Flow Agreement, the Developer User grants you a right to access and use the Service Agent and any upgrades and related material provided by Developer User to you through the Platform, solely as made available by the Platform and solely for your personal or legitimate internal business purposes.

Your right to access and use the Service Agent is limited to the purposes contemplated by this Standard EUA, the Anvita Flow Agreement and any applicable Service Agent description or documentation made available through the Platform. Developer User reserves all rights not expressly granted to you under this Standard EUA.

You grant to the Developer User a non-exclusive, royalty-free and worldwide licence to use, reproduce, modify, process, store and otherwise exploit your Inputs and Outputs, for providing the Service Agent to you, subject to compliance with Applicable Law.

3. OWNERSHIP

As between the Customer User and the Developer User, the Developer User retains all rights it may have in the Service Agent, including its design, configuration, workflows, prompts, instructions, branding and documentation. Customer User does not acquire any ownership interest in the Service Agent by accessing or using it.

4. RESTRICTIONS

You must not:

  • (a) reverse engineer, decompile or attempt to discover the underlying source code, prompts, workflows or proprietary logic of the Service Agent;
  • (b) copy, modify, adapt, create derivative works from, distribute, resell, lease or sublicense the Service Agent;
  • (c) use the Service Agent in violation of Applicable Law or any third-party rights. “Applicable Law” means all laws, statutes, rules, regulations, ordinances, and other pronouncements having the effect of law of any governmental authority.
  • (d) interfere with the operation, security or availability of the Service Agent or the Platform; or
  • (e) use the Service Agent in any manner prohibited by the Anvita Flow Agreement.

5. INPUTS AND OUTPUTS

You are responsible for all Inputs submitted to the Service Agent and for your use of any Output. You represent and warrant that you have all rights, permissions and consents necessary to submit your Inputs, and the use of your Inputs and Outputs in accordance with this Standard EUA will not infringe the Intellectual Property Rights of any third party or breach any Applicable Law. You are responsible for reviewing and validating all Outputs before relying on them.  “Intellectual Property Rights” means all intellectual property rights including database rights, copyrights, trademarks, service marks, logos, whether registered or unregistered and including any applications for registration, rights in know-how, confidential information and trade secrets, and any rights or forms or protection of a similar nature or having equivalent or similar effect to any of them which subsist anywhere in the world.

6. AI DISCLAIMER

The Service Agent may use artificial intelligence (“AI”), machine learning models, external integrations and other third-party services. Outputs may be inaccurate, incomplete, misleading, biased, offensive, unavailable or otherwise unsuitable for your intended purpose. 

You must not rely on Outputs as a substitute for professional advice, independent judgment, testing or human review. Unless expressly stated otherwise, the Service Agent does not provide legal, medical, financial, tax, insurance or other professional advice.

7. CUSTOMER USER RESPONSIBILITIES

You are responsible for:

  • (a) determining whether the Service Agent is suitable for your intended use;
  • (b) ensuring your use of the Service Agent complies with Applicable Law;
  • (c) maintaining appropriate human oversight over any decisions, actions or workflows assisted by the Service Agent; and
  • (d) assessing whether any information submitted to the Service Agent is appropriate to disclose.

You should not submit information that is confidential, sensitive or regulated unless you have assessed and accepted the associated risks and have all necessary rights and permissions to do so. 

8. DEVELOPER USER RESPONSIBILITIES AND REPRESENTATIONS

The Developer User represents and warrants to the Customer User that:

  • (a) it has all rights, licences, consents, permissions and authority necessary to make the Service Agent available through the Agent Store and to grant the rights under this Standard EUA;
  • (b) the Service Agent listing, description, documentation, pricing and other trade description information are accurate, complete, up to date and not misleading;
  • (c) the Service Agent does not intentionally contain malicious code, unauthorised access mechanisms, credential harvesting functionality, deceptive functionality or undisclosed harmful functionality;
  • (d) to the Developer User's knowledge, the Service Agent does not infringe any third-party rights; and
  • (e) the Developer User will comply with the Anvita Flow Agreement and Applicable Law.
The Developer User does not represent or imply that Company endorses, certifies, guarantees, sponsors or assumes responsibility for the Service Agent.

9. PRIVACY

The Developer User will process your personal data and other non-personal information to provide relevant Service Agent services to you, in accordance with any privacy policy of Developer User provided to you.

10. THIRD PARTY SERVICES

A Service Agent may rely on third-party models, APIs, cloud services or other external technology. Neither the Developer User nor Company guarantees the continued availability, compatibility or performance of those third-party services. Your use of third-party services may be subject to separate third-party terms. 

11. NO WARRANTIES

To the maximum extent permitted by Applicable Law: (a) the Service Agent and all Outputs are provided on an "as is" and "as available" basis; (b) the Developer User disclaims all warranties, whether express, implied or statutory, including warranties of accuracy, reliability, availability, fitness for a particular purpose, merchantability, and non-infringement; and (c) you use the Service Agent solely at your own risk.

12. LIMITATION OF LIABILITY

To the maximum extent permitted by Applicable Law, the Developer User will not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, revenue, business, data or goodwill arising out of or in connection with your use of the Service Agent, regardless of what the cause of action is based on (including without limitation, contract, tort and negligence). To the maximum extent permitted by Applicable Law, the Developer User's total aggregate liability arising out of or relating to the Service Agent shall be limited to the greater of: (i) USD50; and (ii) the total amount of fees (if any) paid by the Customer User for the Service Agent during the one month preceding the event giving rise to the claim.

The limitations and exclusions in this Clause 12 apply even if the Developer User has been advised of the possibility of such losses. Nothing in this Standard EUA excludes liability that cannot legally be excluded.

13. INDEMNITY

To the maximum extent permitted by Applicable Law, the Customer User shall indemnify, defend and hold harmless the Developer User from and against any third-party claims, liabilities, damages, losses, judgments, settlements, penalties, fines, costs and expenses, including reasonable legal fees, arising from: (a) the Customer User’s misuse of the Service Agent or Outputs in breach of this Standard EUA or the Anvita Flow Agreement; (b) any Inputs submitted, uploaded or otherwise provided by or on behalf of the Customer User; (c) the Customer User's breach of this Standard EUA or the Anvita Flow Agreement; (d) the Customer User's violation of Applicable Law or infringement of any third-party rights; or (e) the Customer User's use of the Service Agent or Outputs in any regulated, high-risk, sensitive or prohibited context.

14. AVAILABILITY, UPDATES AND CHANGES

The Developer User may update, modify, suspend or discontinue the Service Agent at any time, subject to the Anvita Flow Agreement.

The Service Agent may change over time, including its features, functionality, integrations, performance, pricing, usage limits, supported languages, supported use cases, Output characteristics and third-party dependencies.

Neither the Developer User nor Company guarantees that the Service Agent will remain available, compatible, supported, secure, uninterrupted, error-free or unchanged.

15. SUSPENSION AND TERMINATION

This Standard EUA commences when the Customer User first accesses, enables, invokes, calls up, interacts with, purchases, receives services from or otherwise uses the Service Agent and continues until terminated in accordance with this Standard EUA. This Standard EUA terminates automatically if Developer User or you cease to be an eligible User of the Platform, or if you fail to comply with any of these terms in the Standard EUA.

The Developer User may suspend or terminate the Customer User’s access to the Service Agent if: (a) required by Applicable Law; (b) the Customer User breaches this Standard EUA or the Anvita Flow Agreement; (c) the Customer User’s use creates legal, security, operational, reputational, regulatory, payment, sanctions or third-party rights risk; (d) applicable fees are unpaid; or (e) the Service Agent is withdrawn, suspended, delisted, restricted or discontinued.

Upon termination, the Customer User must stop using the Service Agent and delete any copies of Service Agent materials in its possession or control to the extent applicable and legally permissible. 

16. GOVERNING LAW AND JURISDICTION

This Standard EUA is governed by the laws of Hong Kong.

Any dispute, controversy, difference or claim arising out of or relating to this Standard EUA, including the existence, validity, interpretation, performance, breach or termination thereof or any dispute regarding non-contractual obligations arising out of or relating to it shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (“HKIAC”) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The law of this arbitration clause shall be Hong Kong law. The seat of arbitration shall be Hong Kong. The number of arbitrators shall be one. The arbitration proceedings shall be conducted in the English language.

17. CHANGES TO THIS STANDARD EUA

Company may update this Standard EUA from time to time by publishing a revised version on the Platform. The version made available through the Platform at the time of use will apply, subject to Applicable Law. The Developer User shall be deemed to have accepted the updated Standard EUA by continuing to make the Service Agent available through the Platform, without providing separate end user terms for such Service Agent in accordance with the Anvita Flow Agreement. The Customer User shall be deemed to have accepted the updated Standard EUA by continuing to access or use the relevant Service Agent. If the Customer User does not agree to the updated Standard EUA, the Customer User must stop using the relevant Service Agent.
